Client Master Service Agreement & Portal Terms
Effective Date: September 1, 2026 • Version 3.1 • Commercial Engineering Standard
These Terms govern your enterprise access to the Binary Froster Client Portal and all accompanying engineering statements of work (SOW). By authenticating into this portal or accepting proposals, you agree to these commercial covenants, digital signatory frameworks, and deliverable review protocols.
01. Account Authority & Access Credentials
Client accounts are designated by role hierarchy (Client Admin, Stakeholder, Reviewer, Guest). The Client Admin represents and warrants that they possess legal corporate authority to execute agreements, approve deliverables, and authorize milestone payments on behalf of the client organization.
02. Digital Signatures & Deliverable Approvals
Actions executed within the portal—including clicking "Approve Deliverable", signing formal contracts via E-Sign, and accepting AI-generated proposals—constitute legally binding electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and EU eIDAS regulations.
Clients receive a standard 5 business-day window upon milestone completion to inspect deliverables against agreed acceptance criteria. Uncontested deliverables automatically transition to approved status after expiration of the review window.
03. Intellectual Property & Source Ownership
Upon receipt of final milestone settlement in full, all proprietary source code, repository artifacts, database schemas, and documentation created specifically for the client transition to the exclusive ownership of the client under a work-for-hire framework. Binary Froster retains rights strictly to pre-existing foundational libraries and generic developer tooling.
04. Invoicing, Payment Protocols & Taxes
Invoices are issued based on sprint milestones or retainer agreements and are payable within Net 15 days via integrated Stripe (USD/GBP) or Razorpay (INR) gateways. All applicable statutory taxes (including standard GST / VAT) are explicitly calculated in proposal cost breakdowns.
05. SLA Care & Support Escalation
Active maintenance contracts guarantee 99.9% uptime for deployed enterprise microservices. Critical incidents logged via the Support & Tickets hub receive response and triage by principal engineers within 60 minutes.
